Introduction

Welcome to Coindisco Limited's Terms of Service ("Terms"), which apply to your access and use of our website and mobile application (together referred to as the "Platform"), as well as the content, features, software, and applications available through the Platform (collectively referred to as the "Service"). In addition to these Terms, our Privacy Policy, located at https://coindisco.com/privacy also applies to your use of the Service.

Coindisco Limited ("Coindisco", "we", "us", or "our") is responsible for administering and maintaining the Platform and the Service. The term "you" refers to anyone visiting or using the Platform.

Non-Custodial Nature of Coindisco

Coindisco is a non-custodial platform, meaning that we do not hold, store, or manage any cryptocurrency or fiat funds on behalf of users. The service offers information and data about cryptocurrencies and enables the purchase and sale of cryptocurrencies through our partners.

Users are responsible for securing their own crypto wallets, bank accounts, or cards to complete transactions facilitated by Coindisco. It is your responsibility to ensure the accuracy and security of your wallet addresses, bank account details, and card information.

Coindisco does not provide custodial services or function as a financial institution. We do not have access to or control over users' private keys or funds, and we are not responsible for any loss, theft, or unauthorized access to your funds or wallets.

Coindisco is not a party to any transaction between users and our partner services. We are not responsible for the performance or fulfillment of any agreements, promises, or representations made by our partner services. Users should carefully review the terms and conditions, privacy policies, and any other relevant documents of our partner services before engaging in transactions.

By using Coindisco, you acknowledge and agree that you are solely responsible for managing and maintaining the security of your funds, wallets, and personal information. Coindisco disclaims any liability for losses, damages, or unauthorized access to your funds or wallets resulting from your actions or inactions.

Account Registration

While some features of Coindisco may currently be accessible without registration, certain functionalities may require you to create an account. In the future, Coindisco may require all users to have an account to access the Service. To create an account, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, and provide a valid email address and password.

You agree to provide accurate, up-to-date, truthful, and complete information when creating your account and to keep this information up-to-date. You are responsible for maintaining the confidentiality of your account information and for any activity that occurs under your account.

You are solely responsible for all activities under your account, and Coindisco is not responsible in any way if your password and/or account are misappropriated or used by a third party. You agree to keep your password secure and keep your account information up-to-date at all times.

You shall not use another user's account without their written permission, and you shall not lend, transfer, or sell your account or account information to another party. You must notify Coindisco immediately if you become aware of any security breaches or unauthorized access to your account.

Intellectual Property and Permitted Use

All content provided on Coindisco, including but not limited to text, graphics, logos, images, and software, is owned by Coindisco Limited or other content providers and is protected by applicable copyright, trademark, and other intellectual property laws. Coindisco, its logo, and all other product or service names or slogans displayed on the platform are the registered and/or common law trademarks of Coindisco Limited or its suppliers or licensors and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Coindisco Limited or the applicable trademark holder.

You acknowledge that the content provided through our Services is made available for your personal, lawful, non-commercial use only, and that you may only use such content for the purpose of using the Services. You may view, print, and make copies of the content for your own personal use in accordance with the Terms of Service. Any other use of content from the Services is strictly prohibited, and you agree not to infringe or enable others to infringe our intellectual property rights.

You must not sell, modify, reproduce, display, publicly perform, distribute, or otherwise use the services content in any way for any public or commercial purpose. Your use of the content on any other website or on a file-sharing or similar service for any purpose is strictly prohibited. User Conduct and Acceptable Use

You acknowledge and agree that Coindisco is not responsible for your use of the Service in any way that is illegal, improper, or in violation of these Terms.

You are solely responsible for your conduct and activities on the Service, including any content that you submit, post, or transmit through the Service.

You agree not to engage in any of the following prohibited activities:

Employ or introduce to the Service any data mining, crawling, "scraping", robot, or similar automated or data gathering or extraction method, manually access, acquire, monitor, copy any part of the Service, or download or store content without express authorization.
Copy, manipulate, or aggregate any Content (including data) to make it available to any third party, or exchange, sell, lease, rent, loan, or grant any Content or access to the Service, whether for commercial purposes or free of charge.
Make excessive requests for information, undertake any action that interferes with, disrupts, imposes an undue burden on the Service, any server, network connected to the Service, or negatively affects the quality, availability, speed, or functionality of any Content or the Service.
Introduce a virus, Trojan horse, worm, time bomb, or other malware to the Service or the Platform, use any device, software, or routine to bypass any software or hardware that restricts volume requests for information, or violate any security measure intended to limit or prevent access to the Platform, Content, or Service.
Restrict, inhibit, or interfere with the use of the Service by any other user, including hacking or defacing the Platform, or introducing any computer program that damages, interferes with, intercepts, collects, releases, or discloses any system, data, or personal information of Coindisco or any third party.
Make use of any of Coindisco's or any third party's trademarks, service marks, trade names, or logos displayed on the Platform, and not to modify or remove any copyright or other proprietary notice in the Content.
Additionally, you acknowledge and agree that you (and not Coindisco) are solely responsible for obtaining and maintaining all telecommunications, broadband, and computer hardware, equipment, software, and services necessary for you to access and use the Service, and for paying all charges related to them.

Third-Party Links, Products, and Services

Coindisco may integrate, link to, or provide access to third-party products, services, or websites within the app or on our website ("Third-Party Services"). These Third-Party Services are not controlled by Coindisco Limited, and we do not endorse, adopt, or have any responsibility for their content, functionality, privacy practices, or any other aspects.

Your use of any Third-Party Services is solely at your own risk. You should review the terms and conditions, privacy policies, and any other applicable agreements of such Third-Party Services before using them. It is your responsibility to read and understand the terms and conditions or privacy policies of any Third-Party Services you visit or use.

Coindisco Limited disclaims any and all liability arising from or related to your use of Third-Party Services. You agree and understand that we are not responsible or liable for any loss or damage incurred as a result of your dealings with Third-Party Services or your use of such services at your own risk.

Please note that some of the third-party links on our app or website may be "affiliate links." This means that Coindisco may receive compensation from the referenced third party, which could be in the form of tokens, digital currency, fiat currency, services, or products. Such compensation may be provided even if you do not click on the affiliate links, and additional compensation may be provided if you do click on such affiliate links or take any further action related to them.

Coindisco Limited disclaims responsibility for any scams, frauds, or non-genuine services or products that may be displayed in any advertisements, banners, or other content displayed on our app or website, even if such displayed services or products are from affiliated third parties. You agree to conduct your due diligence and checks and accept all risks associated with purchasing, redeeming, subscribing to, or signing up for any products or services advertised or presented by third parties, including affiliated third parties, on our app or website.

User Content and License Grant

While users are not allowed to upload content to the Coindisco platform, they may be able to share graphs, data, or other information provided by the platform with outside sources. By sharing such content, you grant Coindisco a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the shared content in connection with the provision of the Service and Coindisco's business.

You represent and warrant that you have the necessary rights, licenses, consents, and permissions to grant the above-mentioned license and that sharing the content will not infringe, misappropriate, or violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.

Disclaimer of Warranties

Your use of the Service is at your sole risk. Coindisco Limited provides the Service "as is" and "as available," without warranty of any kind. We expressly disclaim, and you waive, all warranties of any kind, whether express, implied, or statutory, regarding the Service, including, without limitation, any warranties of merchantability, fitness for a particular purpose, title, security, accuracy, and non-infringement.

Coindisco Limited does not warrant or guarantee the accuracy, reliability, completeness, or timeliness of the content, information, or materials provided on the Service or the results of your use of the Service. You acknowledge that any reliance upon such content, information, or materials shall be at your own risk.

Coindisco Limited does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that your use of the Service will be secure or that any data or communications will be free from interception by third parties.

You acknowledge that Coindisco is a non-custodial app and web service. You also acknowledge that Coindisco Limited does not hold any crypto or fiat funds within the mobile and web applications. The Service enables buying and selling of crypto through our partners to be sent to your crypto wallets, bank accounts, or cards. You assume full responsibility and risk of loss resulting from transactions and trades made using the Service.

You assume full responsibility and risk of storing, retrieving, and using your crypto asset secret keys in a secure manner. Coindisco Limited is not responsible for the management or security of your crypto assets, wallets, or secret keys.

Limitation of Liability

In no event shall Coindisco Limited, its officers, directors, employees, or agents, be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of, or inability to access or use, the Service.
Any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties.
Any content obtained from the Service.
Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.
Your reliance on or use of the information, content, third-party links, services, or products introduced or described on the Service.

The content on the Service is strictly for informational purposes only. Nothing on or in the Service shall constitute or be construed as an offering of any currency, security, or any financial instrument, or as investment advice or investment recommendations by Coindisco Limited. Coindisco Limited expresses no opinion as to the future or expected value of any currency, security, or other interest and does not explicitly or implicitly recommend or suggest any investment strategy of any kind.

Coindisco Limited's total cumulative liability to you or any third party under these Terms, from all causes of action and all theories of liability, will be limited to and will not exceed the amounts paid to Coindisco Limited by you during the twelve (12) month period immediately preceding the claim giving rise to such liability, if any.

Coindisco Limited assumes no liability or responsibility for any:

Errors, mistakes, or inaccuracies of any content provided by third-party providers.
Property damage, of any nature whatsoever, resulting from your access to or use of the Service or any third-party services, products, or content.
Any unauthorized access to or use of our servers and/or any and all information stored therein.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. These Terms give you specific legal rights, and you may also have other rights which vary from jurisdiction to jurisdiction. The disclaimers, exclusions, and limitations of liability under these Terms will not apply to the extent prohibited by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Coindisco, its affiliates, subsidiaries, directors, officers, employees, partners, contractors, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Coindisco app, website, and associated services.
Your breach of these Terms of Service, Privacy Policy, or any other applicable policy
Any information you provide to Coindisco or its partners.
Your violation of any rights of any other person or entity, including any infringement, misappropriation, or other violation of third-party intellectual property rights, or violation of any right of privacy or publicity.
Any disputes you have with any third party relating to or in connection with the Coindisco app, website, or its services.

Coindisco reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with Coindisco in asserting any available defenses and in the conduct of such defense.

This indemnity shall apply to your successors and assigns and will survive any termination or cancellation of this Terms of Service.

Governing Law and Jurisdiction

This Terms of Service and any disputes, claims, or legal proceedings arising out of or in connection with it, including but not limited to your use of or access to the Coindisco app, website, and associated services, shall be governed by and construed in accordance with the laws of Hong Kong, without regard to any principles of conflicts of law.

In the event of any disputes arising from this Terms of Service or any other provisions, your use of the Coindisco app, website, or its services, you must first contact Coindisco's designated officer at [email protected] regarding your dispute, and use your best endeavors to amicably settle any dispute in good faith. Coindisco will also use its best endeavors to amicably settle your concerns in good faith. However, if no amicable resolution is reached within 30 days, both parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong.

You agree that any action arising out of, relating to, or in connection with this Terms of Service, the Coindisco app, website, or its services shall be litigated solely in a court of competent jurisdiction located in Hong Kong, and you further irrevocably submit to the exclusive jurisdiction of such court and waive any objection to jurisdiction and venue (including on the basis of forum non-conveniens).

Severability

If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of Service is invalid or unenforceable, then that provision will be removed from the Terms of Service without affecting the rest of the Terms of Service. The remaining provisions of the Terms of Service will continue to be valid and enforceable.

Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of these Terms of Service to arbitrate, shall be determined by binding arbitration in Hong Kong, in accordance with the rules of the Hong Kong International Arbitration Centre (HKIAC) then in effect. Judgment on the award may be entered in any court having jurisdiction.

You agree that any arbitration shall be limited to the dispute between Coindisco and you individually. To the fullest extent permitted by law:

No arbitration shall be joined with any other.
There is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures.
There is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Termination and Suspension

Coindisco reserves the right, in its sole discretion, to terminate or suspend your access to the Platform and the Service, without prior notice, for any reason or no reason, including but not limited to:

Violations of these Terms.
Fraudulent, harassing, or abusive behavior.
Technical or security issues.
Legal or regulatory requirements.

You may terminate your account and discontinue your use of the Platform and the Service at any time. To do so, please contact our support team at [email protected]. Upon termination, you remain responsible for any outstanding obligations or liabilities related to your use of the Platform and the Service.

Termination or suspension of your account will result in the forfeiture and relinquishment of all information and content associated with your account. Coindisco is not liable to you or any third party for any termination or suspension of your account or your access to the Platform and the Service.

Modification of the Service

Coindisco reserves the right, at its sole discretion, to modify, suspend, discontinue, or terminate the Service, or any part thereof, at any time and without prior notice. You agree that Coindisco shall not be liable to you or any third party for any such modification, suspension, discontinuation, or termination of the Service.

Coindisco may, from time to time, release new features, tools, resources, or updates to the Service, which may be subject to additional terms and conditions. By using any new feature, tool, resource, or update, you agree to be bound by such additional terms and conditions.

Coindisco may also revise, update, or discontinue certain features, tools, or resources available through the Service, without prior notice, in order to improve the overall quality and functionality of the Service. You acknowledge and agree that your continued use of the Service after any such change constitutes your acceptance of the revised, updated, or discontinued feature, tool, or resource.

Feedback and Suggestions

Coindisco welcomes and appreciates your feedback, comments, and suggestions for improvements to the Platform and the Service. By submitting any feedback or suggestions, you agree that your submissions are voluntary, gratuitous, unsolicited, and without any expectation of compensation, credit, or acknowledgment. Coindisco is free to use, reproduce, disclose, and distribute such feedback and suggestions without any obligation, restriction, or liability to you.

Notices and Electronic Communications

All communications between you and Coindisco, including but not limited to notices, agreements, disclosures, or other information, will be in electronic form. By using the Service, you consent to receiving electronic communications from Coindisco, and you agree that all such communications satisfy any legal requirement that such communications be in writing. Electronic communications from Coindisco may include, but are not limited to, emails, in-app notifications, or notices posted on the Platform.

You are responsible for providing Coindisco with your most current and up-to-date email address. If your email address changes, you must notify Coindisco immediately by updating your account information or contacting our customer support team.

Non-Waiver

No failure or delay by Coindisco in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or remedy under these Terms shall preclude any other or further exercise of that or any other right, power, or remedy.

No waiver by Coindisco of any breach of any provision of these Terms shall be deemed to be a waiver of any subsequent breach of that or any other provision of these Terms.

You agree that if Coindisco does not exercise or enforce any legal right or remedy which is contained in the Terms, or which Coindisco has the benefit of under any applicable law, this will not be taken to be a formal waiver of Coindisco's rights and that those rights or remedies will still be available to Coindisco.

Entire Agreement

These Terms of Service, together with any additional terms and conditions, policies, or agreements incorporated by reference, constitute the entire agreement between you and Coindisco concerning your access to and use of the Platform and the Service. They supersede and replace any prior agreements, understandings, or representations, whether written or oral, relating to the same subject matter. In the event of any conflict or inconsistency between these Terms of Service and any other terms or conditions referenced herein, the provisions of these Terms of Service shall prevail.
